Terms of Service

Effective date: March 20, 2026

These Terms of Service ("Terms") constitute a binding agreement between you and Kybra, Inc. ("Kybra") governing your access to and use of the Kybra platform, APIs, and related services (collectively, the "Service"). By accessing or using the Service, you agree to these Terms.

1. Eligibility

You must be at least 18 years old and have the legal authority to enter into this agreement. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Account Responsibilities

You are responsible for maintaining the security of your account credentials, including API keys. You must notify Kybra immediately of any unauthorized access or suspected compromise.

You are responsible for all activity that occurs under your account, including usage charges incurred by you or anyone you authorize to use your account.

3. Permitted Use

You may use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

  • Use the Service to generate, distribute, or facilitate illegal content
  • Attempt to circumvent rate limits, access controls, or security measures
  • Reverse engineer, decompile, or extract proprietary components of the Service
  • Resell or sublicense access to the Service without written authorization
  • Use the Service in a way that causes harm to Kybra, other users, or third parties
  • Use the Service to train models intended to compete with Kybra without prior written consent

4. Billing and Payment

Fees for the Service are charged based on actual usage. Billing occurs monthly in arrears. You authorize Kybra to charge your payment method on file for all fees incurred.

Disputed charges must be raised within 30 days of the invoice date. Kybra reserves the right to suspend access for accounts with overdue balances.

5. Service Availability

Kybra targets 99.9% monthly uptime for the Service, excluding scheduled maintenance and events outside our reasonable control. Kybra does not guarantee uninterrupted access and is not liable for downtime caused by force majeure, third-party dependencies, or events beyond our control.

6. Intellectual Property

Kybra retains all rights to the Service, including software, APIs, documentation, and brand assets. Nothing in these Terms grants you ownership of any Kybra intellectual property.

You retain ownership of any content or data you submit to the Service. You grant Kybra a limited license to process your data solely to provide the Service.

7. Confidentiality

Each party agrees to keep the other's confidential information secret and not to disclose it to third parties without prior written consent, except as required by law or as necessary to provide or receive the Service.

8. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. KYBRA DOES NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE OR UNINTERRUPTED.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, KYBRA'S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE FEES YOU PAID IN THE 12 MONTHS PRECEDING THE CLAIM. IN NO EVENT WILL KYBRA BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

10. Termination

You may terminate your account at any time by contacting support. Kybra may suspend or terminate your access with notice for breach of these Terms, non-payment, or conduct that poses a risk to the Service or other users.

Upon termination, your right to access the Service ceases. Sections regarding intellectual property, disclaimers, limitation of liability, and governing law survive termination.

11. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes will be resolved in the state or federal courts located in Delaware.

12. Changes

Kybra may modify these Terms at any time. Material changes will be communicated via email or a notice in the platform at least 14 days before taking effect. Continued use of the Service after the effective date constitutes acceptance.
